SOS Events aims to provide our clients with the best possible service and value for money. We have listed the following terms and conditions to help things run smoothly and successfully:
1. Quote
We like to ensure that our quote is accurate and clearly understood by the client, but we understand that you have to adhere to a budget a lot of the time. The following are a few things that can commonly affect the quote after the contract is signed and agreed:
- 1.1 Last minute alterations to the agreed schedule of services - changes should be made in writing and will be subject to supplementary charges if they require any additional work. If we are not confident that we can manage the changes in the designated timescale without affecting the quality of our work, we shall try to advise you as best we can.
- 1.2 We usually find that a maximum of a two-hour meeting every two weeks with our clients (including venue visits) is sufficient and our charges are calculated accordingly. If you would prefer to meet more often, or require more time for meetings we ask that you advise us so that we can adapt this time in to our quote and ensure that we are able to give you the additional time that you require.
- 1.3 If the full brief is submitted late, then we may be unable to accurately quote unless we are aware of exactly what you need.
2. Payment
- 2.1 We will not be expected to begin work on a project until the contract has been officially agreed and signed by the client.
- 2.2 The terms and schedules of payments will be written out in the invoice and we expect the client to adhere to these requests. If the client fails to meet the deadline for payments upon receipt of an invoice then an additional transaction charge of 2% of the total amount outstanding will be incurred for each month.
- 2.3 If payment is not received then we will assume that our services are no longer required and will cease working on the project with immediate affect.
3. Reputation
- 3.1 We are committed to giving the client the best possible results with outstanding production values for all our work. However, we do not accept liability for the quality of a production if we are not given direct authority over all other sub-contractors or suppliers involved with the project. We ask that we are given the responsibility of sourcing and hiring sub-contractors and suppliers for a project to ensure that we are fully aware and confident of a successful production.
- 3.2 When undertaking work for a client SOS Events may require further information or certain extra material in order to help us provide a client with our best possible service. We expect our clients to help us within reason and provide any information needed to successfully complete a project.
- 3.3 Our reputation is very more important to us. We will try to advise clients if they make decisions that we believe will adversely affect the quality of the project for their sake as well as our own. If our advice is not taken or if we feel decisions by the client undermine our credibility, then to protect our reputation, we may decide to withdraw from the project.
4. Insurance
- 4.1. SOS Events shall ensure it has suitable insurance policies in place for the Event including without limitation event public liability insurance for a value of no less than five million pounds (£5,000,000) for any one event and property insurance to cover theft, fire and damage to all equipment and materials procured for provision at the Event by SOS Events and any and all insurances required for the protection of the Budget and the staging of the Event.
5. Cancellation
- 5.1. In the event that the client has to cancel the Event, any expenses incurred by SOS Events that were necessary towards the organisation or planning of the Event, or that have been specifically requested by the client will be expected to be paid by the client.
- 5.2. In the event that the client has to cancel the Event after agreeing to the quote provided by SOS Events, the client will be expected to pay the following amounts of the total Budget:
- · +6 months before the agreed date - 0%
- · 6 - 4 months before the agreed date - 15%
- · 4 - 2 months before the agreed date - 30%
- · 2 - 1 months before the agreed date - 45%
- · 1 month before the agreed date - 50%
- · 3 - 2 weeks before the agreed date - 75%
- · 2 - 1 weeks before the agreed date - 80%
- · 7 - 1 days before the agreed date - 90%
- · 1 day before the agreed date - 100%
- 5.3. All sums paid pursuant to this Clause shall be used by SOS Events to satisfy all costs incurred up to the date of cancellation with third parties and the balance shall be due to SOS Events for its services provided up to that date.
6. Termination
- 6.1.1. The Client shall have the right to terminate this Agreement immediately upon giving SOS Events notice in writing of such termination if:
- 6.1.2. Following seven (7) days notice in writing SOS Events has failed to remedy a breach or default of any term of this Agreement which is capable of remedy;
- 6.1.3. SOS Events has breached any term of this Agreement which is not capable of remedy;
- 6.1.4. SOS Events is prevented by reason of circumstances beyond SOS' reasonable control from performing its obligations under this Agreement for a period in excess of four (4) days; or
- 6.1.5. SOS Events goes into liquidation, passes a resolution for its winding up, has a receiver appointed in respect of the whole or any part of its assets, enters into a voluntary arrangement or any other composition or compromise with the majority of its creditors, or is otherwise unable to pay its debts as they fall due.
6.2. Upon termination of this Agreement pursuant to the provisions for termination set out in this Clause 8 the Client shall have the right to engage any third party in place of SOS Events to provide the Services and to produce, manage and stage the Event without any liability to SOS Events whatsoever.
